The Counsel, North America Transactions acts as a key advisor on legal issues pertaining to the organization and its commercial transactions. This role reviews, advises on, and assists in the negotiation of transactional documents, as well as provides strategic advice to the business as it relates to commercial transactions.
General Responsibilities
• Acts as advisor on a variety of legal matters, including coordinating with external counsel
• Interpret laws, rulings and regulations for the company
• Guide managers and ensure compliance with rules and regulations
• Reviews legal data and advises organization on appropriate legal action to be taken
• Research, anticipate and guard company against legal risks
• Prepare legal documents, policies and contracts, accurately and in a timely manner
• Participate in company audits to ensure full compliance to all local, state and federal laws
• Develop internal and external messages related to disputes, legal issues and media inquiries
• Stay inform about current legislation, especially concerning legal specialties
• Represent organization in legal proceedings
Experience / Qualifications
• A university degree required (i.e. Bachelors degree) or equivalent relevant work experience.
• Must be a team player able to work in a fast-paced environment with demonstrated ability to handle multiple competing tasks and demands
• Strong communication skills; oral, written and presentation
• Strong organization, planning and time management skills to achieve results
• Strong personal and professional ethical values and integrity
• Holds self-accountable to achieving goals and standards
• Proficient in Microsoft Office programs (Outlook, Word, PowerPoint, and Excel)
• Strong interpersonal & collaboration skills to work effectively with all levels of the organization including suppliers and/or external customers
Key Responsibilities:
- Review, draft, and negotiate a wide range of contracts in support of both Procurement and Sales organizations, including vendor agreements, service contracts, partnership agreements, sales agreements, and confidentiality agreements.
- Ensure all contracts comply with legal requirements and company policies.
- Provide legal advice and support to internal stakeholders on contract-related matters.
- Identify and mitigate potential legal risks associated with contracts.
- Collaborate with the procurement, finance, and operations teams to ensure contracts align with business objectives.
- Maintain and update contract templates and standard terms.
- Stay current with changes in laws and regulations that may impact the company's contractual obligations.
- Assist in resolving contract disputes and managing contract-related litigation.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Licensed to practice law in the relevant jurisdiction, or the ability to register as in-house counsel in the relevant jurisdiction.
- Minimum of two years of experience in contract law, preferably in a corporate or in-house setting.
Preferred Skills:
- Experience in the automotive or technology industries.
- Familiarity with international contracts and cross-border transactions.
- Proficiency in contract management software.
